(Combination) Regulations, 2024) A. Name of the Parties to the Proposed Combination

1. BCPE Wellbeing Holdco Two Limited (“Acquirer 1”)

2. Integral Investments Asia IV Limited (“Acquirer 2”)

3. Omega-Meyer Limited

4. Meyer Organics Private Limited Omega-Meyer Limited and Meyer Organics Private Limited are collectively referred to as “Targets”.

B. Nature and purpose of the Proposed Combination

5. The proposed transaction relates to the acquisition of sole control over the Targets, which own and control the group of companies and affiliates doing business as “Vitabiotics” and “Meyer Organics” respectively, by funds managed and/or advised by Bain Capital Investors, LLC (“Bain Capital”) (“Proposed Transaction”) acting through Acquirer 1 and Acquirer 2.

6. The Proposed Transaction represents an investment opportunity, which is consistent with the strategy of investing in attractive companies to help realize Bain Capital’s long-term growth potential, build better business processes and increase the value of their business.

C. Products, services and business(es) of the Parties Bain Capital

7. Bain Capital is a private equity investment firm based in the US that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/manufacturing.

Targets

8. The Targets are engaged in the provision of nutraceuticals globally as well as in India. Meyer Organics Private Limited also has a limited presence in the production and supply of a limited range of over-the-counter and prescription finished dose pharmaceuticals.

D. Respective market(s) in which the parties to the combination operate

9. The Parties do not exhibit any significant overlaps in India. Accordingly, the precise definition of the relevant market may be left open. *********
